1. Purpose and scope
These terms and conditions of sale (the “Terms”) govern the video editing services provided by Flashy Editing Limited (“Flashy Editing”, “we”) to its clients (the “Client”).
Our services are for businesses only. By placing an order, the Client confirms it is acting for business purposes. Every order implies full acceptance of these Terms, which prevail over any terms of the Client.
2. Services
Flashy Editing offers video editing in three formats:
- per video;
- packages of several videos;
- white-label subscriptions, for agencies and resellers who resell our edits under their own brand.
The content of each format is described on the website or in the quote provided to the Client.
3. Orders
Orders are placed on the website, by accepted quote or by written confirmation (email or message). An invoice is issued when the order is placed. The order becomes binding once the payment set out in clause 5 is received. No work starts before at least 50% of the price has been received.
4. Prices
Prices are those shown on the website or in the quote on the order date, in the currency stated. They exclude taxes. As Flashy Editing is established in Hong Kong, the Client is responsible for any taxes, duties or reverse-charge mechanisms applicable in its country. Bank and currency conversion fees are borne by the Client.
5. Payment
Payment is made by Airwallex payment link, bank transfer or PayPal.
- Standard rule: 100% of the price is paid when the order is placed.
- By exception, if agreed in writing: a 50% deposit when the order is placed, with the balance due before delivery of the final files.
If payment is late or missing, Flashy Editing may suspend work in progress and withhold the final files until full payment.
6. Subscriptions
Subscriptions are billed monthly in advance. Packages (such as the Pack Flashy) carry no commitment: the Client may cancel at any time, without notice, in writing. White-label subscriptions carry a minimum commitment of 2 months, after which they can be cancelled in the same way. Cancellation takes effect at the end of the current month already paid. Videos not ordered during a month do not roll over to the next month.
Under the white-label format, Flashy Editing remains invisible to the reseller’s end clients. The reseller is solely responsible for its relationship with its own clients.
7. Client obligations
The Client provides a clear brief and all necessary materials (footage, logos, music, fonts, references) via Google Drive, Frame.io or any other agreed method.
The Client warrants that it holds all rights to the materials provided, including the image rights of the people filmed. The Client indemnifies Flashy Editing against any third-party claim in this respect.
8. Turnaround and delivery
The standard turnaround is 24 to 72 hours. It starts once all materials and the payment set out in clause 5 have been received. Long or complex videos may have a different turnaround, stated when the order is placed. Any delay by the Client in providing materials or feedback extends delivery accordingly.
Videos are delivered via Frame.io or Google Drive. A delivery is deemed accepted if the Client gives no feedback within 7 days.
9. Revisions
- First video of a new Client: unlimited revisions.
- Following videos: one round of revisions included. A round is a list of feedback grouped and sent at once; it may contain an unlimited number of changes.
Revisions relate to the initial brief. A change of brief (new concept, new footage, different format) is a new order.
10. Intellectual property
Upon full payment, Flashy Editing assigns to the Client all economic rights in the final delivered video: rights of reproduction, display and adaptation, worldwide, on all media and for the full legal term of protection. No rights are assigned before full payment.
Third-party elements (licensed music, stock footage, fonts) remain subject to their own licences. Project source files are not delivered unless agreed in writing.
The Client authorises Flashy Editing to use the videos produced in its portfolio and on its social media. This authorisation does not apply to white-label orders, which remain confidential.
11. Confidentiality and subcontracting
Flashy Editing treats the materials and information provided by the Client as confidential. We may entrust all or part of the editing to independent editors bound by the same confidentiality. Flashy Editing remains responsible to the Client for the service.
12. File retention
Footage and delivered videos are kept for a maximum of 1 month after final delivery, then deleted. The Client is responsible for downloading and backing up its files within that period.
13. Refunds
Refund conditions are set out in the Refund Policy, which forms an integral part of these Terms.
14. Liability
Flashy Editing undertakes to use its best efforts. We do not guarantee any commercial result (views, followers, sales, conversions). Our liability is limited to direct damage and capped at the amount paid by the Client for the order concerned. Indirect damage (loss of revenue, reputation or opportunity) is excluded.
15. Force majeure
Neither party is liable for a failure caused by an event beyond its reasonable control (disaster, major internet or provider outage, government action). Deadlines are extended for the duration of the event.
16. Personal data
The Client’s data is processed in accordance with our Privacy Policy.
17. Governing law and disputes
These Terms are governed by the laws of Hong Kong. In the event of a dispute, the parties will first seek an amicable solution for 30 days. Failing that, the courts of Hong Kong have exclusive jurisdiction.
18. Miscellaneous
Flashy Editing may amend these Terms; the applicable version is the one in force on the order date. These Terms exist in French and English; in case of discrepancy, the French version prevails.
